CONCERNING BUTTERFIELD MEMORIAL HOSPITAL

A RESOLUTION
BY THE BOARD OF TRUSTEES
OF THE VILLAGE OF COLD SPRING
February 23, 1993

WHEREAS the Julia L. Butterfield Memorial Hospital Inc., was created under the last will and testament of the late Julia Lorrilard Butterfield, expressly as a gift to the inhabitants of the Villages of Cold Spring, Nelsonville, and the surrounding communities, and

WHEREAS this gift is a charitable trust, registered with the Office of the New York State Attorney General on the twenty-sixth day of April, 1928, and

WHEREAS this gift is a critical necessity to our isolated community, and its loss would be a major blow, especially to our large senior population, and

WHEREAS said gift was given in trust to be administered by a 7-person Board of Trustees for the use and benefit of the inhabitants of the said Villages, and

WHEREAS the current Board of said charitable trust has not acted in good faith and according to the intent and spirit and the express wished of the will of the late Mrs. Butterfield, and

WHEREAS it is the duty of the Attorney General to enforce the provisions of the Mrs. Butterfield's will on behalf of the beneficiaries according to Articel 8 Section 1-1 (f) EPTL which states, "The attorney general shall represent the beneficiaries of such dispositions for religious, charitable, educational or benevolent purposes and it shall be his duty to enforce the rights of such beneficiaries by appropriate proceedings in the courts", and

WHEREAS the Village of Cold Spring Board of Trustees has been presented with petitions signed by more than ____ beneficiaries, many listing a Cold Spring address, and whom we represent as elected officials, NOW THEREFORE, be it resolved that we, the Board of Trustees of the Village of Cold Spring, call upon the New York State Attorney General's office, as well as all other appropriate state agencies, to promptly take such actions as will:

1) prevent the Board of Trustees from consumating a proposed agreement with the Hudson Valley Hospital Center (HVHC), which would effectively sell all assets of the Hospital to HVHC for a fraction of their value,

2) remove the members of the present Board of Trustees, and

3) arrange for the selection and appointment, by the Supreme Court, of the new Board of Trustees who will properly represent the community and will carry out the provisions of the Butterfield will and in the interests of the beneficiaries, as intended by the grantor.
